General
This website (the “Site”) is owned and operated by Mindful Career Journey, LLC (“Mindful Career Journey”, “we”, “us” or “our”). By using the Site, you agree to be bound by these Terms of Service (“Agreement”) and to use the Site in accordance with these Terms of Service, our Privacy Policy, our Refund Policy and any additional terms and conditions that may apply to specific sections of the Site or to products and services available through the Site or from Mindful Career Journey, LLC. Accessing the Site, in any manner, whether automated or otherwise, constitutes use of the Site and your agreement to be bound by these Terms of Service.
Mindful Career Journey, LLC reserves the right at any time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that Mindful Career Journey, LLC shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service. You must not use the Site to upload, post, store, transmit, display, copy, distribute, promote, make available or otherwise communicate to the public:
any Content that is offensive, abusive, libelous, defamatory, obscene, racist, sexually explicit, ethnically or culturally offensive, indecent, that promotes violence, terrorism, or illegal acts, incites hatred on grounds of race, gender, religion or sexual orientation, or is otherwise objectionable in MIndful Career Journey, LLC’s sole and reasonable discretion;
any information, Content or other material that violates, plagiarizes, misappropriates or infringes the rights of third parties including, without limitation, copyright, trademark rights, rights of privacy or publicity, confidential information or any other right; or
any Content that violates, breaches or is contrary to any law, rule, regulation, court order or is otherwise is illegal or unlawful in Mindful Career Journey, LLC’s sole and reasonable opinion;
any material of any kind that contains any virus, Trojan horse, spyware, adware, malware, bot, time bomb, worm, or other harmful or malicious component, which will or might overburden, impair or disrupt the Site or servers or networks forming part of, or connected to, the Site, or which does or might restrict or inhibit any other user's use and enjoyment of the Site; or
any unsolicited or unauthorized advertising, promotional messages, spam or any other form of solicitation.
You must not commit or engage in, or encourage, induce, solicit or promote, any conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any law or regulation.
You must not rent, sell or lease access to the Site, or any Content on the Site, although this will not prevent you from including links from Your Content to any legitimate online download store from where any item of Your Content may be purchased.
You must not deliberately impersonate any person or entity or otherwise misrepresent your affiliation with a person or entity, for example, by registering an account in the name of another person or company, or sending messages or making comments using the name of another person.
You must not stalk, exploit, threaten, abuse or otherwise harass another user, or any Mindful Career Journey, LLC employee. If we feel that your behavior towards any of our employees is at any time threatening or offensive, we reserve the right to immediately terminate your access and you will not be entitled to any refund.
You must not sell or transfer, or offer to sell or transfer, any Mindful Career Journey, LLC account to any third party without the prior written approval of Mindful Career Journey, LLC.
You must not collect or attempt to collect personal data, or any other kind of information about other users, including without limitation, through spidering or any form of scraping.
You must not violate, circumvent or attempt to violate or circumvent any data security measures employed by Mindful Career Journey, LLC or any Uploader; access or attempt to access data or materials which are not intended for your use; log into, or attempt to log into, a server or account which you are not authorized to access; attempt to scan or test the vulnerability of Mindful Career Journey, LLC’s servers, system, network or attempt to breach Mindful Career Journey, LLC’s data security or authentication procedures; attempt to interfere with the Site or the Services by any means including, without limitation, hacking servers or systems, submitting a virus, overloading, mail-bombing or crashing. Without limitation to any other rights or remedies of Mindful Career Journey, LLC under these Terms of Service, we reserve the right to investigate any situation that appears to involve any of the above, and may report such matters to, and cooperate with, appropriate law enforcement authorities in prosecuting any users who have participated in any such violations.
Mindful Career Journey, LLC may host message boards, chats and other private/public forums on its Sites and on other platforms. Any user failing to comply with the terms and conditions of this Agreement may be expelled from and refused continued access to, the message boards, groups, chats or other such forums in the future. Mindful Career Journey, LLC or its designated agents may remove or alter any user-created content at any time for any reason. Message boards, chats and other public forums are intended to serve as discussion centers for users and subscribers. Information and content posted within these public forums may be provided by Mindful Career Journey, LLC staff, Mindful Career Journey, LLC’s outside contributors, or by users not connected with Mindful Career Journey, LLC, some of whom may employ anonymous user names. Mindful Career Journey, LLC expressly disclaims all responsibility and endorsement and makes no representation as to the validity of any opinion, advice, information or statement made or displayed in these forums by third parties, nor are we responsible for any errors or omissions in such postings, or for hyperlinks embedded in any messages. Under no circumstances will we, our affiliates, suppliers or agents be liable for any loss or damage caused by your reliance on information obtained through these forums. You agree to comply with the above conditions, and acknowledge and agree that Mindful Career Journey, LLC has the right, in its sole discretion, to terminate your account or take such other action as we see fit if you breach any of the above conditions or any of the other terms of these Terms of Service. This may include taking court action and/or reporting offending users to the relevant authorities.
Account Security
To use certain features of the Site, you will need a username and password, which you will receive through the Site’s registration process. You are responsible for maintaining the confidentiality of the password and account, and are responsible for all activities (whether by you or by others) that occur under your password or account. You agree to notify us immediately of any unauthorized use of your password or account or any other breach of security, and to ensure that you exit from your account at the end of each session. We cannot and will not be liable for any loss or damage arising from your failure to protect your password or account information.
If you access Mindful Career Journey, LLC from outside of the United States, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction. You agree at all times to defend, indemnify and hold harmless Mindful Career Journey, LLC, its affiliates, their successors, transferees, assignees and licensees and their respective parent and subsidiary companies, agents, associates, officers, directors, shareholders and employees of each from and against any and all claims, causes of action, damages, liabilities, costs and expenses, including legal fees and expenses, arising out of or related to your breach of any obligation, warranty, representation or covenant set forth herein.
Attorney Fees
In the event that Mindful Career Journey, LLC is successful in whole or in part in any action or proceeding related to or arising from this Agreement, you shall be responsible for Mindful Career Journey, LLC’s attorneys' fees and costs.
Parental or Guardian Permission
Some of the Content on the Site may not be appropriate for children. CHILDREN UNDER THE AGE OF 17 ARE NOT PERMITTED TO USE THE SITE UNLESS A SUPERVISING PARENT OR GUARDIAN IS PRESENT.
Privacy
Use of the Site and/or the Service is also governed by our Privacy Policy.
Dispute Resolution
These Terms of Use shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, and any dispute shall be subject to binding arbitration in the State of North Carolina, County of Lee. If any provision of this agreement shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.
Class Action Waiver
You may only resolve disputes with us on an individual basis, and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action. Class arbitrations, class actions, private attorney general actions, and consolidation with other arbitrations aren’t allowed.
The arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a class or representative proceeding or claims (such as a class action, consolidated action or private attorney general action) unless all relevant parties specifically agree to do so following initiation of the arbitration.
Severability Waiver
If any provision of this Agreement is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall remain in full force and effect. No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term. In addition, Mindful Career Journey, LLC’s failure to enforce any term of this Agreement shall not be deemed as a waiver of such term or otherwise affect Mindful Career Journey, LLC’s ability to enforce such term at any point in the future.
